Today we have checked this issue with following builds:

All Windows
VS 2012/2010
MTVS 1.2.121

We are successfully able to close VS when SDK Sync is in progress.

Changing the status to Verified.

I saw this again today with MTVS 1.4.2: http://screencast.com/t/dIDFFMmKJb on VS2012 on a Win8 32 bit machine. I was connected to/syncing with a machine running X.I

Can't really track it down much further right now, but it's definitely still occurring under some set of conditions.

This should be fixed in 1.6 as the way we present the information and proceed with the VS shutdown has changed.
